These Terms of Service govern your use of Satyron's website and services. By engaging Satyron for a project or using this website, you agree to these terms. Individual engagement agreements take precedence over these general terms where there is any conflict.
Services
Satyron provides AI engineering, full-stack development, automation systems, and related technical services as defined in individual project agreements or statements of work. The specific scope, deliverables, and timelines for each engagement are established in those agreements.
We reserve the right to decline any engagement that conflicts with our values, capacity, or technical focus. Acceptance of an inquiry does not constitute a binding engagement until a formal agreement is signed by both parties.
Intellectual Property
Upon full payment for a project, clients receive full ownership of the custom-built deliverables specified in their engagement agreement — including source code, system architecture, and documentation created specifically for that engagement.
Satyron retains ownership of internal frameworks, reusable components, proprietary tooling, and methodologies that were developed independently of any specific client engagement. These may be used across multiple projects without restriction.
Any open-source software incorporated into your project remains subject to its original license terms. Satyron will inform clients of any third-party dependencies and their license requirements.
Payment Terms
Payment schedules are defined in each engagement agreement. Project-based engagements typically follow a milestone-based structure. Retainer engagements are invoiced on a monthly basis in advance.
Satyron reserves the right to pause or suspend work on any engagement where payment obligations are not met within the agreed terms. Outstanding balances accrue interest at a rate of 1.5% per month after the due date.
All pricing is exclusive of applicable taxes unless stated otherwise. Clients are responsible for any taxes, duties, or levies imposed by their local jurisdiction.
Confidentiality
Satyron treats all client business information, technical specifications, and project details as confidential. We will not disclose client information to third parties without explicit written consent, except as required by law.
Where a formal NDA is requested, Satyron is willing to execute one prior to the discovery phase. Standard confidentiality obligations are included in all engagement agreements.
Limitation of Liability
Satyron's liability for any claim arising from an engagement is limited to the total fees paid by the client for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or punitive damages.
We do not guarantee specific business outcomes, revenue generation, or performance benchmarks unless explicitly stated and contracted. Our responsibility is to deliver technically sound, production-grade systems according to the agreed specifications.
Warranties and Disclaimers
Satyron warrants that services will be performed with reasonable skill and care, and that deliverables will materially conform to agreed specifications at the time of delivery. We provide a reasonable post-delivery support window as defined in each engagement agreement.
Beyond the above, services and deliverables are provided "as is" without further warranties, express or implied. We do not warrant uninterrupted or error-free operation of any system after the client has taken ownership and deployed to their own infrastructure.
Termination
Either party may terminate an engagement with written notice as specified in the engagement agreement. In the event of termination, the client is responsible for payment of all work completed up to the termination date.
Satyron reserves the right to immediately terminate an engagement in cases of non-payment, breach of agreement, or conduct that violates our policies.
Governing Law
These terms and any disputes arising from them shall be governed by applicable law in the jurisdiction where Satyron operates. Any disputes that cannot be resolved amicably will be subject to binding arbitration before litigation.
Changes to These Terms
We reserve the right to update these Terms of Service at any time. Ongoing engagements are governed by the terms in effect at the time the engagement agreement was signed. Updates to these general terms apply to new engagements only.
